Please read these Terms of Service carefully before using the ValiDyne IQ platform. By accessing or using our services, you agree to be bound by these terms. If you do not agree to these terms, do not use our services.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "User," or "you") and ValiDyne IQ, LLC ("ValiDyne IQ," "we," "us," or "our"), governing your access to and use of the ValiDyne IQ compliance management platform, including all associated software, services, features, and documentation (collectively, the "Services").
By creating an account, accessing, or using our Services, you represent that you have the legal authority to enter into this agreement on behalf of yourself or your organization, and that you agree to be bound by these Terms and our Privacy Policy.
2. Description of Services
ValiDyne IQ provides a cloud-based, multi-tenant Software-as-a-Service (SaaS) platform designed for compliance management in regulated industries. Our Services include but are not limited to:
- Certification lifecycle management and tracking
- Dispatch scheduling and technician workflow management
- Controlled document management and PDF approval workflows
- Customer compliance portal access
- KPI dashboards, analytics, and reporting
- Escalation monitoring and automated alerts
- Role-based access control (RBAC) management
- Service request intake and work order management
- Audit logging and regulatory traceability tools
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to subscribers.
3. Account Registration & Access
3.1 Account Creation
To access the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3.2 Authorized Users
You may grant access to the Services to individuals within your organization ("Authorized Users") subject to the user limits of your subscription plan. Each Authorized User must agree to these Terms before accessing the Services.
3.3 Account Security
You agree to notify ValiDyne IQ immediately of any unauthorized use of your account or any other breach of security. ValiDyne IQ will not be liable for any loss resulting from unauthorized use of your account credentials.
3.4 Account Eligibility
The Services are intended for use by businesses and organizations operating in regulated industries. You must be at least 18 years of age and have the legal authority to bind your organization to these Terms.
4. Subscription & Payment Terms
4.1 Subscription Plans
ValiDyne IQ offers subscription-based access to the Services under various plans as described on our pricing page. Your subscription plan determines the features, user limits, and service levels available to you.
4.2 Billing
Subscription fees are billed in advance on a monthly or annual basis as selected during signup. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
4.3 Price Changes
ValiDyne IQ reserves the right to modify subscription fees with at least 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new fees.
4.4 Taxes
All fees are exclusive of applicable taxes. You are responsible for paying all applicable taxes, levies, and duties imposed by taxing authorities.
4.5 Late Payments
Overdue accounts may be subject to suspension of Services until payment is received. ValiDyne IQ reserves the right to charge interest on overdue amounts at the rate of 1.5% per month.
5. Customer Data & Confidentiality
5.1 Customer Data Ownership
You retain all ownership rights to data, content, and information you submit to the Services ("Customer Data"). ValiDyne IQ does not claim any ownership rights over your Customer Data.
5.2 License to Process Data
By using the Services, you grant ValiDyne IQ a limited, non-exclusive license to access, store, process, and transmit your Customer Data solely to provide and improve the Services as described in our Privacy Policy.
5.3 Data Isolation
ValiDyne IQ employs multi-tenant architecture with organization-level data isolation. Your Customer Data is logically separated from data belonging to other customers and is not accessible by other customers.
5.4 Confidentiality
Both parties agree to maintain the confidentiality of the other party's confidential information and not to disclose such information to third parties without prior written consent, except as required by law.
6. Intellectual Property
6.1 ValiDyne IQ IP
The Services, including all software, algorithms, interfaces, documentation, trademarks, and content created by ValiDyne IQ, are the exclusive property of ValiDyne IQ, LLC and are protected by applicable intellectual property laws.
6.2 License to Use
ValiDyne IQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term, solely for your internal business purposes in accordance with these Terms.
6.3 Restrictions
You may not copy, modify, distribute, sell, sublicense, reverse engineer, decompile, or create derivative works based on the Services or any component thereof without prior written consent from ValiDyne IQ.
6.4 Feedback
If you provide ValiDyne IQ with suggestions, feedback, or recommendations regarding the Services, you grant ValiDyne IQ a perpetual, irrevocable, royalty-free license to use such feedback without restriction.
7. Prohibited Uses
You agree not to use the Services to:
- Violate any applicable laws, regulations, or industry standards
- Transmit any unauthorized, harmful, or illegal content
- Attempt to gain unauthorized access to other accounts or systems
- Interfere with or disrupt the integrity or performance of the Services
- Upload malicious code, viruses, or other harmful components
- Use the Services to compete with ValiDyne IQ or resell access without authorization
- Misrepresent your identity or affiliation with any entity
- Submit false, inaccurate, or misleading compliance data
- Circumvent or disable any security or access control features
8. Service Availability & SLA
8.1 Uptime Commitment
ValiDyne IQ targets 99.5% platform availability for Enterprise plan subscribers, measured on a monthly basis, excluding scheduled maintenance windows.
8.2 Scheduled Maintenance
ValiDyne IQ will provide at least 48 hours' advance notice for scheduled maintenance that may affect Service availability. Emergency maintenance may be performed without advance notice when necessary to protect platform security or integrity.
8.3 Support
Technical support is provided in accordance with your subscription plan. Enterprise subscribers receive dedicated support with defined response time commitments as specified in their service agreement.
9. Limitation of Liability
9.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VALIDYNE IQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
9.3 Liability Cap
VALIDYNE IQ'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.4 Regulatory Compliance
ValiDyne IQ provides tools to assist with compliance management workflows. However, ultimate responsibility for regulatory compliance with applicable laws and standards (including USP <797>, USP <800>, and other industry regulations) remains with the Customer.
10. Termination
10.1 Termination by Customer
You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period.
10.2 Termination by ValiDyne IQ
ValiDyne IQ may suspend or terminate your access to the Services immediately upon notice if you breach these Terms, fail to pay subscription fees, or engage in conduct that poses a risk to the platform or other users.
10.3 Data Retrieval Upon Termination
Following termination, you will have 30 days to export your Customer Data. After this period, ValiDyne IQ may permanently delete your data from its systems.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Houston, Texas.
Before initiating any legal proceeding, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days.
12. Miscellaneous
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable order forms or service agreements, constitute the entire agreement between you and ValiDyne IQ regarding the Services.
12.2 Amendments
ValiDyne IQ reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-platform notification. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
12.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

- Provide, operate, and maintain the ValiDyne IQ platform

- Respond to customer service requests and support inquiries
- Monitor and analyze usage patterns to improve platform performance
- Detect, prevent, and address technical issues, fraud, and security breaches
- Comply with legal obligations and enforce our Terms of Service

3. Data Sharing & Disclosure
3.1 We Do Not Sell Your Data
ValiDyne IQ does not sell, rent, or trade your personal information or Customer Data to third parties for their marketing purposes.
3.2 Service Providers
We may share information with trusted third-party service providers who assist us in operating our platform, including cloud hosting providers, payment processors, email service providers, and analytics tools. These providers are contractually bound to protect your data.
3.3 Legal Requirements
We may disclose your information if required to do so by law, court order, or government authority, or when we believe disclosure is necessary to protect our rights, protect your safety, or investigate fraud.
3.4 Business Transfers
In the event of a merger, acquisition, or sale of assets, your information may be transferred as part of that transaction. We will notify you before your information becomes subject to a different privacy policy.
4. Data Security
ValiDyne IQ implements industry-standard security measures to protect your information, including:
- Encryption of data in transit using TLS/SSL protocols
- Encryption of data at rest using AES-256 encryption
- Role-based access controls limiting data access to authorized personnel

We retain your personal information and Customer Data for as long as your account is active or as needed to provide the Services. Upon termination of your account, we will retain your data for 30 days to allow for export, after which it will be permanently deleted from our active systems.
We may retain certain information for longer periods as required by law, for fraud prevention, or for legitimate business purposes.

Depending on your location, you may have the following rights regarding your personal information:
- Access: Request a copy of the personal information we hold about you
- Correction: Request correction of inaccurate or incomplete information
- Deletion: Request deletion of your personal information, subject to legal obligations

7. HIPAA Considerations
ValiDyne IQ serves customers in healthcare and pharmacy environments. Where our Services involve the processing of Protected Health Information (PHI) as defined under HIPAA, we operate as a Business Associate and will execute a Business Associate Agreement (BAA) with covered entities as required by law.
Customers operating in HIPAA-regulated environments should contact us to execute a BAA before inputting any PHI into the platform.
8. Children's Privacy
Our Services are not directed to individuals under the age of 18. We do not knowingly collect personal information from children. If we become aware that we have collected personal information from a child, we will take steps to delete such information promptly.
9. Changes to This Policy
We may update this Privacy Policy from time to time. We will notify you of significant changes by email or by posting a prominent notice on our platform. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated policy.

Data Processing Agreement
This Data Processing Agreement ("DPA") forms part of the Terms of Service between ValiDyne IQ, LLC ("Data Processor") and the Customer ("Data Controller") and governs the processing of personal data by ValiDyne IQ on behalf of the Customer.
1. Definitions
- Personal Data: Any information relating to an identified or identifiable natural person
- Processing: Any operation performed on personal data, including collection, storage, use, and deletion
- Data Controller: The Customer who determines the purposes and means of processing personal data
- Data Processor: ValiDyne IQ, LLC, which processes personal data on behalf of the Customer
- Sub-processor: Any third party engaged by ValiDyne IQ to process personal data
2. Scope & Purpose of Processing
ValiDyne IQ processes personal data only for the following purposes:
- Providing and maintaining the compliance management platform
- Processing work orders, certifications, and compliance records
- Managing technician and customer user accounts
- Generating compliance reports and audit trails
- Providing technical support and customer service
- Platform security monitoring and fraud prevention
3. Data Controller Obligations
The Customer, as Data Controller, agrees to:
- Ensure a lawful basis exists for all personal data submitted to the platform
- Provide required notices and obtain necessary consents from data subjects
- Ensure personal data submitted is accurate and kept up to date
- Not submit special categories of personal data without appropriate safeguards
- Notify ValiDyne IQ promptly of any data subject requests or regulatory inquiries
4. ValiDyne IQ Obligations
ValiDyne IQ, as Data Processor, agrees to:
- Process personal data only on documented instructions from the Customer
- Ensure all personnel authorized to process personal data are bound by confidentiality
- Implement appropriate technical and organizational security measures
- Assist the Customer in responding to data subject rights requests
- Notify the Customer of any personal data breach within 72 hours of becoming aware
- Delete or return all personal data upon termination of the agreement
- Provide all information necessary to demonstrate compliance with this DPA
5. Sub-processors
ValiDyne IQ uses the following categories of sub-processors to provide the Services:
- Cloud Infrastructure: Hosting and data storage services
- Email Services: Transactional and notification email delivery
- Analytics: Platform usage analytics and monitoring
- Payment Processing: Subscription billing and payment services
ValiDyne IQ will provide a full list of current sub-processors upon request and will notify the Customer of any intended changes to sub-processors with at least 30 days' advance notice.

ValiDyne IQ implements the following technical and organizational security measures:

- Access controls ensuring only authorized personnel access personal data

ValiDyne IQ primarily stores and processes Customer data within the United States. Any transfer of personal data outside the Customer's jurisdiction will be subject to appropriate safeguards as required by applicable data protection law.

8. Vulnerability Disclosure

Acceptable Use Policy
This Acceptable Use Policy ("AUP") governs the use of the ValiDyne IQ platform and services. All users must comply with this policy. Violations may result in suspension or termination of access.
1. Purpose
This policy establishes guidelines for the appropriate use of the ValiDyne IQ compliance management platform to ensure the security, reliability, and integrity of our services and to protect all users and their data.
2. Permitted Uses
The ValiDyne IQ platform is intended for use by authorized business customers for legitimate compliance management purposes, including:
- Managing certification workflows and compliance documentation
- Scheduling and dispatching field technicians
- Tracking work orders and service requests
- Generating and distributing compliance reports and certifications
- Managing customer compliance portals
- Monitoring and reporting on operational KPIs
3. Prohibited Activities
3.1 Security Violations
- Attempting to gain unauthorized access to any accounts, systems, or networks
- Circumventing or disabling security features or access controls
- Conducting port scans, network probes, or vulnerability assessments without authorization
- Uploading malware, viruses, ransomware, or other malicious code
- Engaging in denial-of-service attacks or network flooding
3.2 Data Misuse
- Submitting false, fraudulent, or misleading compliance data
- Accessing or attempting to access other customers' data
- Exporting or sharing data in violation of applicable privacy laws
- Using the platform to store or transmit unauthorized personal data
- Scraping or harvesting data from the platform without authorization
3.3 Legal Violations
- Using the platform in violation of any applicable laws or regulations
- Infringing on the intellectual property rights of ValiDyne IQ or third parties
- Violating any applicable data protection or privacy laws
- Using the platform to facilitate fraud, money laundering, or other financial crimes
3.4 Platform Abuse
- Sharing account credentials with unauthorized users
- Using the platform for any purpose other than legitimate business operations
- Reselling or sublicensing access to the platform without authorization
- Creating multiple accounts to circumvent subscription limits
- Submitting excessive API requests that degrade platform performance
4. Compliance Data Integrity
Given the regulated nature of our customers' industries, ValiDyne IQ places particular emphasis on the integrity of compliance data. Users must:
- Submit accurate and truthful compliance records and certifications
- Not alter or falsify certification results or compliance documentation
- Maintain appropriate documentation for all compliance activities recorded in the platform
- Ensure all users with access to compliance data are properly trained and authorized
- Report any suspected falsification of compliance data to ValiDyne IQ immediately
5. User Responsibilities
Each user is responsible for:
- Maintaining the confidentiality of their login credentials
- Logging out of the platform when not in use
- Reporting suspected security incidents or unauthorized access promptly
- Ensuring devices used to access the platform have up-to-date security software
- Complying with their organization's internal information security policies
6. Enforcement
Violations of this Acceptable Use Policy may result in:
- Immediate suspension of the offending user's account
- Termination of the Customer's subscription without refund
- Reporting to appropriate law enforcement authorities
- Civil or legal action to recover damages
ValiDyne IQ reserves the right to investigate suspected violations and to cooperate with law enforcement agencies in connection with any investigation of illegal activity.
7. Reporting Violations
If you become aware of any violation of this Acceptable Use Policy, please report it to us immediately. We take all reports seriously and will investigate promptly.
